2. Service Description

Loady.ai is an AI-powered voice dispatch platform for small trucking fleets. The Service provides: AI voice dispatch (load finding, broker verification, rate assistance), access to load board integrations (DAT, Truckstop.com, 123Loadboard), FMCSA broker verification, and related dispatch tools.

3. Eligibility

To use the Service, you must:

• •Be at least 18 years of age
• •Hold a valid MC# (Motor Carrier number) or DOT# (Department of Transportation number), or be registering on behalf of a carrier or broker that holds such credentials
• •Have the authority to bind yourself or your company to these Terms
• •Provide accurate and complete registration information

4. Account Responsibilities

You are responsible for maintaining the accuracy of your account information, keeping your account credentials secure, and all activities that occur under your account. You must notify us immediately of any unauthorized use of your account at (531) 227-5141.

5. Founding Member Access Period

During the Founding Member Access period, the Service is provided on an as-is, best-effort basis. Features, pricing, and availability may change. We will notify Founding Members of material changes at least 30 days in advance. Founding Member benefits, including free initial loads, are subject to the terms communicated at registration.

6. Rate Negotiation Disclaimer

Loady.ai provides AI-assisted rate suggestions and negotiation support. The final decision to accept or reject any load, at any rate, is always and exclusively yours. Loady.ai does not guarantee any specific rate, load availability, or negotiation outcome. Rate suggestions are estimates based on available market data and do not constitute professional financial advice.

7. Important Disclaimer — We Are Not a Broker

Loady.ai is a dispatch technology tool, not a freight broker. We do not arrange transportation, take possession of freight, or guarantee broker payment. We do not guarantee load availability, specific rates, or payment by brokers or shippers. Load transactions are between the carrier and the broker or shipper directly. Loady.ai is not party to those transactions.

8. Prohibited Uses

You may not use the Service to:

• •Provide false, misleading, or fraudulent information
• •Impersonate any carrier, broker, or individual
• •Circumvent or manipulate rate negotiations in bad faith
• •Violate any applicable laws or FMCSA regulations
• •Attempt to reverse engineer, scrape, or disrupt the Service

9. Intellectual Property

All AI technology, platform software, branding, content, and trademarks associated with Loady.ai are owned by Loady.ai. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from any part of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOADY.AI IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID TO LOADY.AI IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate the Service relationship at any time. You may cancel your account by contacting us at (531) 227-5141. We may suspend or terminate your account for violation of these Terms. Upon termination, your data will be deleted per our Privacy Policy.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in court. These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles.

13. Changes to Terms

We will provide 30 days' notice of material changes to these Terms via email to registered users. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated terms, you may cancel your account before the effective date.
